Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HomeoNetix website, mobile applications and Electronic Medical Records (EMR) platform (collectively, the "Services"), operated by NETIX INFOTECH PRIVATE LIMITED ("HomeoNetix", "we", "us" or "our"). By creating an account or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Acceptance & Scope

These Terms form a binding agreement between you (and, where applicable, the clinic, practice or organisation on whose behalf you act) and NETIX INFOTECH PRIVATE LIMITED. If you accept these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. Description of the Services

HomeoNetix is a multi-tenant Software-as-a-Service (SaaS) clinic management and EMR platform built for homeopathic practice. The Services include, among other features:

  • Patient registration, UHID generation and lifecycle management.
  • Multi-step homeopathic case-taking with LSMC (Complete Symptom) analysis, miasm scoring and rubric capture.
  • AI-assisted miasm and case analysis and AI rubric extraction.
  • Appointment scheduling, follow-ups and reminders.
  • Prescription generation, printing and dispatch via email, WhatsApp or SMS.
  • Multi-branch clinic management, roles, permissions and audit logs.
  • Subscription, invoice and payment management via approved gateways.

3. Eligibility & Account Registration

  • You must be at least 18 years of age and competent to contract.
  • Doctor accounts must hold a valid registration with the relevant homeopathic / medical regulatory authority in their jurisdiction.
  • You agree to provide accurate, current and complete information during sign-up and to keep it updated.
  • You are responsible for safeguarding your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use.
  • Tenant administrators are responsible for managing the access, roles and permissions of their staff users.

4. Your Responsibilities

  • Use the Services only for lawful purposes and in compliance with applicable medical, data-protection and consumer-protection laws.
  • Obtain all necessary consents from your patients prior to entering, storing or processing their personal and clinical information in the Services.
  • Keep your professional registration valid for as long as you use the Services in a clinical capacity.
  • Do not upload content that is unlawful, defamatory, infringing or harmful, or that contains malware, viruses or destructive code.
  • Do not attempt to reverse-engineer, decompile, copy, scrape, probe or circumvent the Services' security, rate limits or access controls.
  • Do not resell, sublicense, white-label or otherwise commercially exploit the Services without our prior written consent.

5. Medical & Clinical Disclaimer

HomeoNetix is a practice management and decision-support tool. It does not practise medicine and does not provide medical advice, diagnosis or treatment. All clinical decisions — including miasm assessments, remedy selection, potency, posology and follow-up — remain the sole responsibility of the treating practitioner. AI-generated suggestions are advisory only and must be reviewed by a qualified homeopathic doctor before being acted upon.

6. Data Ownership & Licence

  • Your data: You retain all rights to the patient and clinical data you input into the Services. You act as the data fiduciary / controller of that data and we act as the data processor.
  • Our licence: You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, copy, back up and otherwise process your data strictly to provide and improve the Services.
  • Aggregated insights: We may use de-identified, aggregated information that cannot reasonably be linked to you, your clinic or your patients, for analytics and improvement of the Services.
  • Export: You may export your data in standard formats during the active term of your subscription.

7. Subscriptions, Billing & Taxes

  • Subscription fees are billed in advance on a monthly or annual basis through our payment partners (e.g. Razorpay). All amounts are in Indian Rupees (INR) unless otherwise stated.
  • Applicable taxes (including GST) will be added to the subscription fee where required by law.
  • Plan upgrades take effect immediately on a prorated basis. Downgrades take effect at the next billing cycle.
  • We may change pricing or plan structures with at least 30 days' notice by email or in-app communication.
  • Failure to pay may result in temporary access restrictions, suspension after a grace period and eventual termination. Read-only access to historical records may be retained for a limited window after expiry, as further described in our in-app subscription messaging.
  • Refunds and cancellations are governed by our Cancellation & Refunds Policy.

8. Free Trial

We may, at our discretion, offer a free trial of up to 7 days on eligible plans. At the end of the trial period, you must subscribe to a paid plan to continue using the Services. If you do not subscribe, your account will be downgraded or suspended and your data will be retained, in line with our retention schedule, before being deleted in accordance with applicable law.

9. Intellectual Property

The Services, including all software, design, text, graphics, logos, audio, video, AI models and trademarks, are the exclusive property of NETIX INFOTECH PRIVATE LIMITED or its licensors and are protected by Indian and international copyright, trademark and other intellectual property laws. Except for the limited rights of use granted to you under these Terms, no other rights are granted. "HomeoNetix" and related logos are trademarks of NETIX INFOTECH PRIVATE LIMITED.

10. Service Availability & Support

We target a service availability of 99.9% on a monthly basis, excluding scheduled maintenance, force majeure and circumstances beyond our reasonable control. We provide email-based support per the support tier of your subscription. We may, with reasonable advance notice, introduce, modify or discontinue features.

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated suggestions and uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, goodwill, data or anticipated savings, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Services shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify and hold harmless NETIX INFOTECH PRIVATE LIMITED, its directors, employees, contractors and agents from any third-party claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services in breach of these Terms or applicable law, (b) your patient records, content or instructions, or (c) any clinical decision you take in reliance on the Services.

14. Suspension & Termination

  • You may cancel your subscription at any time from within the application; access will continue until the end of the paid period.
  • We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that risks harm to patients, our infrastructure or other users.
  • On termination, you may export your data within 30 days. After that period, data will be deleted or de-identified, subject to legal retention obligations (including medical-records retention laws).

15. Force Majeure

Neither party will be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, pandemics, governmental actions, civil unrest, telecommunications or internet failures, cyber-attacks and outages by upstream cloud or infrastructure providers.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The parties shall first attempt to resolve any dispute amicably through good-faith discussions. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Pune, Maharashtra, and the language shall be English. Subject to the foregoing, the courts of Pune, Maharashtra shall have exclusive jurisdiction over matters not subject to arbitration.

17. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified by email or in-app message. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

18. Miscellaneous

  • Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
  • Entire agreement: these Terms, together with the Privacy Policy and any order forms or in-app commercial terms, constitute the entire agreement between you and us regarding the Services.
